These Terms of Service govern your use of Prospera, the business management software at prospera.work operated by Incluve, LLC ("Incluve", "we", "us"). By applying for an account, or by using Prospera on behalf of a business, you agree to these terms for yourself and for that business.
Prospera is provided by Incluve, LLC, [registered address], [state and registration number]. You can reach us at support@medcore.ai.
The "Customer" is the business that holds a Prospera account. "Users" are the people the Customer lets into its account, such as owners, staff and accountants. The person who applies for the account confirms that they are authorised to accept these terms for the Customer.
Every business is verified before its account is activated. You must give accurate business details and genuine documents, such as registration certificates, tax registrations, identity documents and proof of address. We may ask for more information, and we may refuse or withdraw an application where we cannot verify the business or suspect misuse.
You are responsible for everyone you give access to, for the roles and permissions you assign them, and for keeping sign-in details secret. Tell us at once if you suspect that an account has been accessed without permission.
Plans, prices and limits (such as the number of users and locations) are shown under Settings › Billing & Plan. A new account may start with a free trial. When the trial ends, continued use requires a paid plan.
Fees are charged in advance for each billing period and, unless you cancel, plans renew automatically for the same period. Prices exclude taxes such as VAT, which are added where they apply. [Payment methods and collection: to be confirmed once online payment is available.] Except where the law requires otherwise, fees already paid are not refunded for a partly used period.
We may change prices with at least 30 days' notice. The change applies from your next renewal.
Online payments that your customers make by card, bank transfer or USSD are processed by Paystack, a licensed payment company. Paystack charges a processing fee on each such payment and deducts it before the money reaches your bank account. That fee is set by Paystack and paid to Paystack; Prospera receives none of it. The current rates, with worked examples, are published on our Online payment fees page (prospera.work/fees). Cash and other payments you record in Prospera yourself carry no processing fee.
The records you put into Prospera (customers, suppliers, products, invoices, payments, bank statements, documents and so on) belong to you. You give us permission to store, process and display them only as needed to provide, secure and support Prospera, and as described in our Privacy Policy.
You are responsible for having the right to enter personal data about your own customers, suppliers and staff, and for telling them how you use it. For those records we act on your instructions as your service provider (data processor).
Information you choose to publish, such as a public listing on Find Products & Services, is visible to other Prospera users and visitors until you turn it off.
Some features use artificial intelligence: the AI Assistant, reading supplier invoices and bank statements, suggesting how bank lines should be matched or categorised, and importing data from spreadsheets. To do this, the relevant content is sent to our AI service providers for processing.
AI output can be incomplete or wrong. Prospera shows AI results as suggestions for you to check; you remain responsible for what you confirm, post or send. The AI Assistant gives general information, not professional accounting, tax, legal or financial advice.
Prospera is a tool for keeping records and preparing documents. You remain responsible for your accounts, tax returns, invoices, statutory filings and compliance with the laws that apply to your business, including tax and e-invoicing rules. Tax rates and settings in Prospera are provided for convenience; check them against current law or ask your adviser.
You must not, and must not let anyone else:
Prospera works with services run by others, such as WhatsApp, email delivery, banks and payment providers. Your use of those services is governed by their own terms, and we are not responsible for them. Sending a document by WhatsApp, for example, opens WhatsApp with a message and a link that you choose to send.
We work to keep Prospera available and secure, but we do not promise that it will be uninterrupted or error-free. Prospera needs an internet connection; it does not work offline. We may carry out maintenance, and we may add, change or remove features. If we remove a feature that is central to your plan, we will tell you in advance.
Support is available through Help & Support in the app and at support@medcore.ai.
You can cancel your plan at any time under Settings › Billing & Plan; it ends at the close of the period you have paid for.
We may suspend or close an account that breaks these terms, fails verification, remains unpaid after reminders, or puts other users or the service at risk. Where it is reasonable to do so, we will warn you first and give you a chance to fix the problem.
After an account closes, you have [30] days to ask us for an export of your records. After that we delete or anonymise them, except where we must keep them by law (see the Privacy Policy).
We treat your business records as confidential and protect them with technical and organisational measures appropriate to the risk. Staff at Incluve can see your records only when needed to verify your business, provide support you ask for, keep the service secure, or meet a legal obligation.
Prospera is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose.
To the fullest extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or data. Our total liability arising from Prospera in any 12 months is limited to the fees you paid us in those 12 months. Nothing in these terms limits liability that cannot be limited by law.
You will compensate us for claims by third parties that arise from the data you put into Prospera, from your use of Prospera in breach of these terms, or from your breach of law.
We may update these terms. For material changes we will give at least 30 days' notice in the app or by email. If you keep using Prospera after the changes take effect, the new terms apply; if you do not agree, you can cancel before then.
These terms are governed by [governing law]. Before starting formal proceedings, both parties will try in good faith to settle a dispute by contacting each other. [Dispute resolution forum or arbitration to be confirmed.] Mandatory consumer or data protection rights in your country are not affected.
